These Terms & Conditions (“Terms”) constitute a legally binding agreement between [GSR GLOBAL TECHNOLOGY] (“Company,” “we,” “us,” or “our”) and the client or user (“Client,” “you,” or “your”)who accesses, engages, or utilizes our IT services, software solutions, products, platforms, orwebsites. By accessing or using our services, you acknowledge that you have read, understood,and agree to be legally bound by these Terms.

1. Scope of Agreement

These Terms govern all IT services, software development, consulting, integrations, maintenance,deliverables, communications, Statements of Work (“SOW”), proposals, quotations, and invoices. Ifany conflict arises between these Terms and an SOW, the SOW shall prevail for that specific project.

2. Eligibility & Acceptable Use

You must have legal authority to enter into a contract. You agree not to engage in unlawful, harmful, or fraudulent activities, reverse engineering, system disruption, or misuse of proprietary assets. Violations may result in termination and legal action.

3. Project Engagement & Deliverables

Each project may require a separate SOW. Work begins only after written approval. Additional features or changes beyond the original agreement will be billed separately. Delays caused by the Client extend delivery timelines.

4. Fees, Payments & Invoicing

Fees must be paid per the invoice or SOW. Late payments may suspend work and incur additional fees. All payments are non-refundable unless stated otherwise. Client is responsible for taxes, hosting, licensing, and third-party charges.

5. Intellectual Property Rights

Deliverables become the Client’s property only after full payment. The Company retains rights to internal frameworks, reusable components, and proprietary tools. The Company may showcase non-confidential work in its portfolio unless restricted by NDA.

6. Confidentiality & Data Protection

Both parties must maintain confidentiality of business and technical information. While the Company uses reasonable security measures, it is not liable for breaches caused by third-party systems or external factors.

7. Warranties & Disclaimers

Services are provided professionally but without guarantees of uninterrupted performance, universal compatibility, or future-proofing. The Client is responsible for backups and accuracy of provided materials.

8. Support, Maintenance & Updates

Limited post-delivery bug-fix support may be included. New features, redesigns, server issues, and third-party failures are not covered under free support.

9. Third-Party Integrations

The Company is not liable for downtime, failure, price changes, or discontinuation of third-party APIs, hosting, plugins, or external services. Client bears cost of such services.

10. Limitation of Liability

The Company’s total liability is limited to the amount paid by the Client for the specific service. The Company is not liable for indirect, punitive, incidental, or consequential damages.

11. Termination

The Company may terminate services for violation of Terms, non-payment, or unlawful activity. Clients may terminate with written notice but must pay for work completed. Deliverables may be withheld until dues are cleared.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of [india/tamilnadu]. Disputes will be resolved in courts of Ranipet, Tamilnadu after good-faith negotiation.

Amendments

The Company may modify these Terms anytime. Continued use signifies acceptance.
